Regolazione «indipendente» del mercato e «conformazione in chiave protettiva» del contratto

Con il presente lavoro si intende guardare al tema dell’«integrazione» e «correzione» del contratto nel prisma dei poteri regolatori delle autorità indipendenti. In quest’ottica, il binomio in questione si rivela particolarmente suggestivo, dal momento che focalizza i due momenti topici del fenomeno indagato, centrando, da un lato, il «risultato» che esplica la regolazione «indipendente», ossia la sua capacità di influire sul contratto (e sulla contrattazione in genere); dall’altro, la «funzione» che la stessa persegue, identificabile nel riequilibrio del rapporto negoziale a vantaggio di coloro che scontano posizioni di debolezza. Emerge cosí in tutta evidenza come l’attività di «market regulation» condotta dalle authorities e ricadente nella sfera negoziale si connota (e si giustifica) sotto il profilo assiologico in quanto assume i contorni di una «conformazione in chiave protettiva» [The paper aims to examine the topic of «integration» and «correction» of the contract in the prism of the Independent Authorities’ regulatory powers. In this view, the binomial at issue is particularly evocative, since it focuses the two essential features of the phenomenon under observation, detecting, on the one hand, the «result» of the «independent» regulation, i.e. its aptitude to shape the contract (and the bargaining in general); and, on the other hand, the «function» that it pursues, identifiable in the rebalancing of the contractual relation in favour of the weaker party.
